Ardente v. Horan, 117 R.I. 254, 366 A.2d 162 (1976).

Facts: Plaintiff offered to sell real estate to Defendant. Defendant sent acceptance and formal agreement. When Plaintiff returned executed formal agreement and payment, he implied that the acceptance was conditional on the inclusion of other properties in the sale. Defendant refused.

Holding: No contract was formed.

Rule: A counteroffer is a rejection of an offer.
